Terms of Service

Please read these Terms of Service carefully before using SchoolOS. They set out your rights and responsibilities as a customer and the obligations of Globivance Systems in providing the Platform.

1. Agreement to Terms

By accessing or using SchoolOS (the "Platform"), you agree to be bound by these Terms of Service ("Terms") on behalf of your school or organisation. If you do not agree, do not use the Platform.

These Terms form a legally binding agreement between your school ("Customer," "you," or "your") and Globivance Systems ("we," "us," or "our"), the company operating SchoolOS.

2. The Platform

SchoolOS is a cloud-based school management platform that provides tools for managing student records, attendance, fee collection, academic results, staff, communication, and related school operations.

We reserve the right to update, modify, or discontinue any feature of the Platform at any time. We will endeavour to give reasonable advance notice of material changes.

3. Account Registration and Responsibilities

To use SchoolOS, a school administrator must register an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account credentials confidential and not share them with unauthorised persons
  • Promptly notify us at info@globivance.com if you suspect unauthorised access to your account
  • Be responsible for all activity that occurs under your account
  • Ensure that all users added to your account (staff, teachers, bursars) comply with these Terms

You must be at least 18 years old and authorised to enter into contracts on behalf of your school to register an account.

4. Subscription and Payment

Subscription plans SchoolOS is offered on subscription plans as described on our Pricing page. Features and limits vary by plan.

Payment Fees are due in advance for the applicable subscription period (monthly or annual). All prices are in Nigerian Naira (NGN) unless otherwise stated. Prices are exclusive of applicable taxes.

Late payment If payment is not received within 7 days of the due date, we may suspend access to the Platform until outstanding amounts are settled.

Refunds We do not offer refunds for partially used subscription periods except where required by applicable law or at our sole discretion in exceptional circumstances.

Price changes We will give at least 30 days' notice before increasing subscription prices.

5. Acceptable Use

You agree not to use SchoolOS to:

  • Upload, store, or transmit unlawful, harmful, or fraudulent content
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to gain unauthorised access to the Platform, its servers, or other users' accounts
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform
  • Resell or sublicense access to the Platform without our prior written consent
  • Use the Platform in any way that violates applicable Nigerian law or any other jurisdiction's laws

We reserve the right to suspend or terminate accounts that violate these obligations without refund.

6. Your Data

Ownership You retain full ownership of all data you input into SchoolOS, including student records, fee data, and academic information ("Customer Data").

Licence to us You grant us a limited, non-exclusive licence to store, process, and display Customer Data solely to provide the Platform to you.

Data processing Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

Export You may export your Customer Data at any time via the Platform's export tools. Upon termination of your subscription, we will retain your data for 12 months to allow export, after which it will be deleted.

7. Intellectual Property

All intellectual property rights in the SchoolOS platform, including its software, design, branding, and documentation, are owned by Globivance Systems or our licensors. These Terms do not grant you any rights in our intellectual property except the limited right to use the Platform as described herein.

You may not copy, modify, distribute, or create derivative works of the Platform or its content without our prior written consent.

8. Availability and Support

We aim to maintain Platform availability of at least 99% measured monthly, excluding scheduled maintenance windows. We will endeavour to schedule maintenance during off-peak hours and provide advance notice.

Support is provided via email at info@globivance.com and WhatsApp. Response times vary by plan. We do not guarantee resolution times for all issues.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available." To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Globivance Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Globivance Systems, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your Customer Data infringing any third-party rights
  • Any breach by you of applicable law

12. Term and Termination

These Terms remain in effect for as long as you have an active subscription or account.

Termination by you: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

Termination by us: We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay outstanding fees, or if we are required to do so by law.

Upon termination, your right to access the Platform ceases. Sections 6 (Your Data — retention obligations), 7, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and via a notice within the Platform at least 14 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the updated Terms. If you do not agree, you must discontinue use before the effective date.
